Responsibilities & Context:

Job Location: Silver Tower (Level-6), 52 Gulshan Avenue, Gulshan-1, Dhaka.

Job Responsibilities

  • Organize Board Committee Meetings following strict compliance with corporate governance guidelines, Company Law, Financial Institution Act and Bangladesh Bank regulations.

  • Ensuring the company complies with applicable laws, regulations, and corporate governance best practices.

  • Keep up to date with any regulatory or statutory changes and policies that might affect the company and take appropriate action.

  • Assisting the Board of Directors in their duties and facilitating effective communication between the Board and Executive Management.

  • Facilitating communication with shareholders, including organizing annual general meetings, preparing shareholder notices.

  • Maintaining accurate and up-to-date corporate records, including registers of shareholders, directors, and charges.

  • Preparing and filing statutory reports, such as annual reports, with the relevant government authorities within the prescribed timelines.

  • Acting as a liaison between the company, its shareholders, directors, auditors, lawyers, and regulatory authorities.

  • Prepare accurate, complete minutes of meetings and submission to the regulatory authorities and record the same.

  • Keep under close review all legislative, regulatory and corporate governance developments that might affect the Company`s operations, and ensure the Board is fully briefed on these and that it has regard to them when taking decisions.

  • Coordinate with other departments for preparation of Board memos and circulate to the members of the Board of Directors.

  • Maintain good relationship with Regulatory Bodies.

  • To perform IPO related activities when required.

  • To comply any other duties which is assigned by the Board of Directors.
