∎ ACA/ACMA/ACS/FCS

Experience Requirements:
∎ 3 to 7 year(s)

Job Responsibilities:
∎ To organize, prepare agenda & taking minutes of Board of Directors/Advisors meetings & circulate the minutes to all concerned.
∎ To maintain liaison with legal counsel for statutory issues related to the company & also with accounts department.
∎ Liaison with Auditors & Registrar of Joint Stock Companies & Firms including Public Relations.
∎ Monitoring changes in relevant legislation and the regulatory environment & taking appropriate action & establishing appropriate control & safeguard.
∎ To maintain all sort of Statutory Books & Register relevant to Secretarial practice as per companies Act.
∎ Prepare Annual Report within schedule time & organize Annual General Meeting (AGM) of the respective company. and ensuring on time distribution of approved dividend after AGM.
∎ Supervise of share related functions & submission of monthly Shareholding report, Free Float & DEMAT position of the respective Company to BSEC, DSE & CSE according to prescribed format.
∎ Registration of Bangladesh Investment Development Authority (BIDA) & other permission of BIDA.
∎ Compliance of the rules & directives of the Authorities like BSEC, DSE, CSE, CDBL, RJSC and other related departments be ensured.
∎ All responsibilities required to be discharged by the Company Secretary of a listed Company.
∎ Execute any other task assigned by the Authority/Management.
