Educational Requirements:
∎ Master's degree in relevant discipline
∎ Chartered secretary will get preference.
∎ Preferred Professional Certification: Charterd Secretary

Experience Requirements:
∎ At least 5 year(s)

Job Responsibilities:
∎ Arranging meeting for the Board Committees by determining members' availability, ensuring quorum.
∎ Responsible for: Compliance, Regulatory Secretarial Duties and others.
∎ Develop agendas, meeting minutes etc., sending agendas and working papers on time, recording and drafting meeting minutes correctly, and timely and communicating the meeting decisions to all relevant stakeholders and follow up on action points.
∎ Preserving and safe-keeping of both digital and manual archiving records, files, and similar confidential items.
∎ Able to ensure due diligence as per regulatory body Like BSEC, RJSC and NBR etc.
∎ Prepare reports, letters and research information for the Board Chairperson or the Director as required.
∎ Organizing and assisting to ensure the effective action of the board in governing and supporting the organization and oversees board affairs. Act as the representative of the board as a whole rather than as an individual supervisor to staff.
∎ Support to ensure each committee has a chairperson and stays in touch with chairpersons to be sure that their work is carried out; identifies committee recommendations that should be presented to the full board.
∎ Responsible for arranging different committee meeting.
∎ Must have sound knowledge on company act and other related regulatory act and rules.
∎ Maintain proper liaison with Executive Committee member for different matters and convenes board discussions on evaluating the Executive Director.
∎ Take various permission from the Government authorities/Agencies for Hospital Operation.
∎ Collate information, write reports and communicate decisions to relevant company stakeholders.
∎ Share Transfer, Transmission, Sponsor Share Buy/Sell and Bonus/Right related works, Distributed Dividend related works (Stock/Cash). Distributed Dividend related works (Fraction).
∎ Preparing the AGM report, speeches and messages pertaining to various programs, inter office memos and letters.
∎ Performing administrative and other secretarial works assigned by the management.
∎ Stay up-to-date with healthcare regulations.
∎ Any other task assigned by management.
∎ All other job responsibility will be given at the time of joining.

Additional Requirements:
∎ Age 35 to 48 years
∎ Only males are allowed to apply
∎ 5 years of experience as a Company Secretary, in the corporate sector/Hospital Sector or similar organizations. Familiarity With various relevant Laws and Acts.
∎ Strong organizational and time management skills.
∎ Sufficient knowledge in secretarial software, Outlook, Microsoft excels and Word.
∎ Excellent technical knowledge of Companies Acts.
∎ Excellent presentation, interpersonal & communications skills - both written & oral.
