Educational Requirements:
∎ Master's in Business Administration or a relevant discipline
∎ Professional certification in Chartered Secretaries is mandatory

Experience Requirements:
∎ At least 5 year(s)

Job Responsibilities:
∎ Ensure that the organization is conducting its business in accordance with applicable laws, rules & regulations and follows the highest standards of business ethics.
∎ Responsible for: Compliance, Regulatory Secretarial Duties and others.
∎ Develop agendas, meeting minutes etc., send agendas and working papers on time, record and drafting meeting minutes correctly, and timely and communicate the meeting decisions to all relevant stakeholders and follow up on action points.
∎ Support to ensure each committee has a chairperson and stays in touch with chairpersons to be sure that their work is carried out; identifies committee recommendations that should be presented to the full board.
∎ Arranging Board of Directors Meetings, AGM or any meeting as and when required.
∎ Preparing the AGM report, speeches and messages pertaining to various programs, inter-office memos and letters.
∎ Responsible for arranging different committee meetings.
∎ Writing and distributing of the minutes of the meeting through email or posting.
∎ Maintain all types of membership files, personal files of employees, registers and all other necessary documents.
∎ Share Transfer, Transmission, Sponsor Share Buy/Sell and Bonus/Right related works, Distributed Dividend related works (Stock/Cash). Distributed Dividend related works (Fraction).
∎ Preserving and safe-keeping of both digital and manual archiving records, files, and similar confidential items.
∎ Making correspondences with related Govt. departments, ministries as well as private organizations.
∎ Able to ensure due diligence as per regulatory bodies Like BSEC, RJSC and NBR, etc.
∎ Take various permission from the Government authorities/Agencies for Hospital Operations.
∎ Conduct all secretarial tasks such as preparation of any draft, office note, message, speech etc.
∎ Publish Annual reports, journals and other publications as and when required.
∎ Maintain all types of related documents, notifications, etc.
∎ Handle legal matters on behalf of the Company.
∎ Sign contracts, agreements and lease documents on behalf of the Company.
∎ Performing administrative and other secretarial work assigned by the management.
∎ Stay up-to-date with healthcare regulations.
∎ Any other task assigned by management.
∎ All other job responsibilities will be given at the time of joining.

Additional Requirements:
∎ Age 35 to 48 years
∎ Only males are allowed to apply
∎ 5 years of experience as a Company Secretary, in the corporate sector/Hospital Sector or similar organizations. Familiarity With various relevant Laws and Acts.
∎ Strong organizational and time management skills.
∎ Sufficient knowledge in secretarial software, Outlook, Microsoft excels and Word.
∎ Excellent technical knowledge of Companies Acts.
∎ Excellent presentation, interpersonal & communications skills - both written & oral.

Salary: Negotiable
