Job Context:
∎ IDF Integrated Services Limited (IISL) works for employment generation, environment protection and development, bio-diversity, financial inclusion, renewable engergy including solar power and manpower development etc. It will also cooperate work in partnership with national, interational organizations, companies, financial instittutions, national and foreign governments local Government institutions for achieving the objectives of this company and to organize national and international training, conferences, seminars and workshops on various development issues.

Job Responsibilities:
∎ The duties and responsibilities of the Company Secretary are as follows:
∎ Ensure that the organization is conducting its business in accordance with applicable laws, rules & regulations and follows highest standards of business ethics.
∎ Ensure timely circulation of notice and Board working papers to the Directors for Board meeting.
∎ Provide guidance and activities to the Board Members in discharging their duties and responsibilities under the rules and regulations to which they are subject.
∎ Preparing and arranging the Files for holding Board Meetings and Annual General Meetings.
∎ Ensure recording of minutes of the Board meeting and that of the General meeting of the shareholders.
∎ Maintenance of statutory registers under the Companies Act;
∎ Apply due diligence to ensure compliance of all statutory issues;
∎ Sign contracts, agreements and lease documents on behalf of the Company.
∎ Evaluate performance targets fixed by the Board from time to time.
∎ Arrange timely submission of statutory and regulatory reports and ensure compliance.
∎ Monitor changes in relevant legislation and the regulatory environment and take appropriate action
∎ Ensure that appropriate procedures and protocols in place for the management of requests for legal advice and instructions on behalf of the Trust;
∎ Bring to the attention of the Board of Directors or Executive Management Team any areas of unmanaged risk, or unique risks that are not otherwise addressed;
∎ Other jobs assigned by the management time to time.

Additional Requirements:
∎ Minimum 10 years of relevant professional experience. Experience of working with Company will be given preference.
∎ Age limit for the applicant would be 45 years. Age limits may be relaxable for highly experienced and potential candidates.
∎ Excellent communications skills both in Bangla and English.
∎ Good knowledge in excel and accounting software.
∎ Ability to work under pressure.
∎ Excellent networking, communication, negotiation and interpersonal skills.
∎ Strong analytical and report-writing skills.
∎ Ability to work in a team from diverse backgrounds
∎ Willingness to travel to, and work in, remote areas for extended periods of time

Salary: Negotiable
